Responsibilities

(i) Legal aspects of structured finance

The lawyer will perform tasks related to all of the Division's responsibilities and work independently on structured finance operations. He/She will draw up, as necessary, reports on completed transactions and prepare his/her own proposals when consulted on fundamental or unusual issues. He/She will:

  • Create the legal framework for financing operations and guarantees, notably structured finance and project finance (drafting, advisory support, conclusion of contracts and completion of all related legal formalities) and monitor these from a legal viewpoint
  • Manage high-level contacts and negotiations
  • Liaise where necessary with external consultants and supervise their work
  • Complete the administrative formalities vis-à-vis clients (public institutions and private enterprises)
  • Undertake research for and conduct legal studies on problems of law arising in connection with the Bank's operations and in the context of developing new financial instruments
  • Contribute to the process of developing strategies and policies for providing the legal services required by the Bank in a particular field in the short, medium and long term, in order to meet the objectives of the overall Legal Affairs strategy with respect to the internal remits of the departments concerned

(ii) Legal aspects of loan restructuring and insolvency

The lawyers will carry out legal assignments relating to loan restructuring including but not exclusively for failing and insolvent projects. They will:

  • Advise on the best way to protect the interest and rights of the Bank in the case of problem loans and projects in difficulties
  • Define the measures to be taken for the purpose of the foregoing
  • Create and monitor the legal framework for failing or insolvent projects and for restructuring projects (including for borrowers who perform well)
  • Contribute to the design of standard contract clauses for all lending products available from EIB.
  • Take on, when required, the responsibility for legal matters of lending projects (including the negotiations and administrative formalities) when the lending operation includes new or innovative features, with a particular view for the safeguard of the Bank's rights and interests
  • Undertake research and conduct legal studies on problems of law arising in connection with the Bank's operations and in the context of developing new lending instruments

(iii) Legal aspects of capital markets/ treasury/derivatives activities

The Legal Aspects of Financial Issues Division assists the finance directorate and risk management directorate with the legal aspects of its capital markets, derivatives and treasury activities. The successful candidate will be responsible for:

  • Providing expert legal input for documentation relating to capital markets, treasury and derivatives activities
  • Giving corresponding advice and taking requisite initiatives
  • Participating in negotiations
  • Researching topics relevant to current activities
  • Developing ongoing relations with the finance directorate and the EIB's other directorates
In all three categories, lawyers are expected to supervise consultants when necessary.
